These Affiliate Program Terms of Use (“Affiliate Terms”) govern participation in the Delete
Me affiliate program (the “Program”) operated by Flagship Inc. (“Flagship,” “we,” “us,” or
“our”).
By applying for or participating in the Program through Mantle or any other approved platform,
you (“Affiliate,” “you,” or “your”) agree to be bound by these Affiliate Terms.
1. Definitions
• Delete Me: Flagship’s Shopify app that enables merchants to delete customer personal
data and process user account deletions or withdrawals.
• Affiliate: An individual or legal entity approved to participate in the Program.
• Referral: A merchant who installs or subscribes to Delete Me through Affiliate’s unique
referral link.
• Qualified Conversion: A completed, valid, non-fraudulent subscription or purchase
that meets all conditions set forth in these Affiliate Terms and the Mantle dashboard.
• Commission: The amount payable to Affiliate for Qualified Conversions.
• Mantle Platform: The third-party affiliate platform operated by Mantle used for
tracking, reporting, and commission payouts.
2. Relationship to Delete Me Terms of Service
Participation in the Program is subject to both:
• These Affiliate Terms; and
• The Delete Me Terms of Service and Privacy Policy, as updated from time to time.
In the event of a conflict:
• These Affiliate Terms govern matters relating specifically to the Program; and
• The Delete Me Terms of Service govern all other aspects of Delete Me.
3. Enrollment and Eligibility
• Affiliates must apply through the Mantle platform or another method designated by
Flagship.
• Acceptance or rejection of any application is at Flagship’s sole discretion.
• Affiliates must be at least eighteen (18) years old and have the legal capacity to enter
into a binding contract.
• The Program is void where prohibited by law.
Flagship may reject or terminate Affiliates associated with illegal, deceptive, misleading,
pornographic, hateful, or otherwise inappropriate content or practices.
4. Affiliate Conduct and Promotional Standards
Affiliates must:
• Comply with all applicable laws, regulations, and advertising standards;
• Clearly disclose the affiliate relationship (e.g., “I may earn a commission if you sign up
through this link”);
• Promote Delete Me accurately and in good faith.
Affiliates must not:
• Make false, misleading, or exaggerated claims about Delete Me’s features, legal
compliance, effectiveness, or outcomes;
• Represent Delete Me as providing legal advice or guaranteeing compliance with GDPR,
privacy laws, or other regulations;
• Use spam, unsolicited bulk email, or deceptive traffic practices;
• Engage in cookie stuffing, forced clicks, or hidden redirects;
• Bid on “Delete Me,” “Flagship,” or confusingly similar trademarks in paid search
without prior written consent;
• Register domains, social handles, or ads implying official affiliation with Flagship.
Flagship reserves the right to determine, in its sole discretion, whether any promotion is
compliant.
5. Compliance with Privacy and Advertising Laws
Affiliate is solely responsible for ensuring that all promotional activities comply with:
• Applicable advertising and consumer protection laws;
• FTC endorsement and disclosure guidelines (or equivalent local laws);
• Data protection and privacy laws (including GDPR, CCPA, or similar).
Affiliate acknowledges that Delete Me is a tool and does not itself ensure legal compliance for
merchants.
6. Use of Brand Assets
Flagship grants Affiliate a limited, non-exclusive, revocable license to use approved Delete Me
brand assets solely to promote the Program.
Affiliates may not:
• Modify or distort logos or trademarks;
• Present themselves as Flagship employees or agents;
• Imply endorsement, partnership, or co-branding without written consent.
All rights to use brand assets terminate immediately upon termination from the Program.
7. Qualified Conversions
Commissions are earned only for Qualified Conversions that:
• Are tracked through Affiliate’s unique referral link on Mantle;
• Are made by new customers;
• Are successfully paid and not refunded, canceled, or disputed;
• Are not self-referrals or purchases by entities controlled by Affiliate.
Flagship reserves the right to disqualify or reverse commissions associated with fraudulent or
invalid activity.
8. Commissions and Payments
• Commission rates, cookie durations, payout schedules, minimum thresholds, and
payment methods are governed by the Mantle dashboard.
• The information displayed in Mantle constitutes the controlling record for commission-
related matters.
• Flagship may modify or discontinue the Program, including commission structures, at
any time.
Affiliate is responsible for:
• Maintaining accurate payment information; and
• Reporting and paying all applicable taxes.
Participation in the Program does not create any guaranteed or vested right to future earnings.
9. Fraud, Chargebacks, and Recovery
Flagship may withhold, offset, or recover commissions for transactions that are later refunded,
charged back, disputed, or determined to be fraudulent or non-compliant.
Excessive refund or dispute rates may result in immediate suspension or termination of Affiliate
participation.
10. Confidentiality
Any non-public information provided to Affiliate in connection with the Program is
confidential.
Affiliate agrees to:
• Use such information solely for Program participation; and
• Protect it with reasonable care.
Confidentiality obligations survive termination.
11. Customer Relationship
All referred customers are and remain customers of Flagship.
Affiliate may not:
• Use customer data obtained through the Program for unrelated marketing; or
• Retain or export such data for any purpose outside the Program.
12. Term and Termination
These Affiliate Terms begin upon Affiliate approval and continue until terminated.
Flagship may suspend or terminate Affiliate participation at any time, with or without notice, at
its sole discretion.
Upon termination:
• All promotional rights immediately cease;
• Affiliate must remove referral links and brand assets;
• Only approved commissions earned prior to termination remain payable, subject to
adjustment.
Affiliate may terminate participation at any time via the Mantle platform.
13. Disclaimer and Limitation of Liability
The Program is provided “as is” and “as available.”
Flagship makes no warranties regarding:
• Traffic, conversions, revenue, or results;
• The continuity of the Program.
To the maximum extent permitted by law, Flagship shall not be liable for indirect, incidental, or
consequential damages, including lost profits.
Flagship’s total liability under these Affiliate Terms shall not exceed the total commissions paid
to Affiliate during the six (6) months preceding the claim.
14. Indemnification
Affiliate agrees to defend, indemnify, and hold harmless Flagship from any claims, damages,
liabilities, or expenses arising from:
• Affiliate’s breach of these Affiliate Terms;
• Affiliate’s violation of law or third-party rights; or
• Affiliate’s promotional content or conduct.
15. Governing Law and Jurisdiction
These Affiliate Terms are governed by the laws of Japan, without regard to conflict-of-law
principles.
Any disputes arising out of or relating to the Program shall be subject to the exclusive
jurisdiction of the Tokyo District Court or Tokyo Summary Court.
16. Modifications
Flagship may modify these Affiliate Terms at any time.
Updated terms will be posted via Mantle or Flagship’s website, and continued participation
constitutes acceptance of the modified terms.
17. Miscellaneous
• Nothing in these Affiliate Terms creates a partnership, joint venture, employment, or
agency relationship.
• If any provision is held invalid, the remaining provisions shall remain in full force and
effect.
• Affiliate may not assign these Affiliate Terms without Flagship’s prior written consent.
Flagship may assign them freely.
