Delete Me Terms of Service
These Terms of Service (the “Terms”) set forth the conditions governing the use of the service “Delete Me” (the “Service”) provided by Flagship Inc. (“we,” “our,” or “us”).
By using the Service, you agree to these Terms.
Article 1 (About These Terms)
- Users of the Service operated by us shall review and agree that these Terms constitute a legally binding agreement between us and the user, and shall use the Service only after agreeing to these Terms.
- In addition to these Terms, the terms of use of websites operated by us or third parties linked from the Service, as well as the terms of use of Shopify Inc. and other related services, are necessary for the proper operation of the Service. Users shall use the Service only after agreeing to such terms.
- The Service is intended to be used solely for business purposes and may be used only by sole proprietors or officers or employees of corporations for the purpose of operating Shopify stores under their management. Users represent and warrant that they use the Service for business purposes.
Article 2 (Definition of Users and Conditions of Use)
- A “User” means a person who applies to use the Service through the Shopify App Store and is approved by us.
- Users shall access and use the Service through authentication by logging into the Shopify admin interface.
- Users acknowledge and agree that personal information deletion, anonymization, or account termination processes performed through the Service may be irreversible.
- Users shall, at their own responsibility, obtain backups of data related to the use of the Service in advance, and we shall not be liable for any damages arising from the failure to obtain such backups.
Article 3 (Registration Information and Account Management)
- Users shall register and manage, at their own responsibility, accurate and up-to-date information provided at the time of using the Service (“Registration Information”).
- We may deem any use of the Service to have been conducted by the duly authenticated user, and all consequences and responsibilities arising from such use shall belong to the user.
- If unauthorized use of account information causes damage to us or any third party, the user shall be liable for all such damages.
Article 4 (Handling of Personal Information)
- Personal information handled in connection with the Service shall be processed in accordance with our separately established Privacy Policy and applicable laws and regulations to which the user is subject (including, without limitation, the Act on the Protection of Personal Information and the GDPR).
- The Service provides functionality to delete or terminate customer information, order information, and other personal information within a Shopify store based on the user’s instructions or settings. The final judgment and responsibility regarding the scope of deletion, deletion targets, and compliance with applicable laws shall rest solely with the user.
- We do not warrant that the deletion or retention of personal information performed through the use of the Service is legally appropriate.
Article 5 (Prohibited Acts)
Users shall use the Service in compliance with laws, guidelines, and the terms of use of related services. The following acts are prohibited. In the event of a violation, we may suspend use of the Service, revoke user eligibility, or take other measures we deem necessary.
- Infringing intellectual property rights of us or third parties
- Infringing privacy, or damaging the reputation or credibility of us or third parties, or engaging in unjust discrimination or defamation
- Infringing or potentially infringing property of us or third parties
- Causing economic damage to us or third parties
- Threatening us or third parties
- Using the Service for purposes of planning, developing, operating, or researching services that are identical or similar to ours, or for other commercial purposes different from the Service
- Using the Service for purposes other than business use by sole proprietors or corporate officers or employees
- Impersonating another person
- Acts contrary to public order and morals or that may lead thereto
- Acts that lead to or promote crime, such as announcing or instructing criminal activity
- Lending, transferring, reselling, or sharing user accounts with third parties
- Decoding, analyzing, reverse compiling, reverse assembling, or reverse engineering applications related to the Service, our servers, or generated data or communications
- Using or inducing the use of computer viruses or harmful programs
- Imposing excessive load on the infrastructure of the Service
- Attacking servers, systems, or security of the Service
- Attempting to access the Service through methods other than interfaces provided by us
- Any other acts deemed inappropriate by us
We may suspend or terminate use of the Service or take other necessary measures without prior notice if a user violates this Article.
Article 6 (Intellectual Property Rights)
- Users may use the content of the Service only within the Service.
- All rights to content provided through the Service belong to us, and no license or right to use our patents, utility model rights, design rights, trademarks, copyrights, or other intellectual property rights is granted to users.
- Users shall not reproduce, transmit, transfer (including sales between users), lend, translate, adapt, repost without authorization, reuse, use for commercial purposes, modify, reverse assemble, reverse compile, or reverse engineer content beyond the scope permitted by us.
- Upon loss of user eligibility due to withdrawal or otherwise, the right to use provided content shall also terminate.
Article 7 (Fees)
Users shall pay fees separately determined by us using the methods specified by us in connection with use of the Service.
Article 8 (Notes on Use of the Service)
- We may change, add to, or suspend the contents of the Service without prior notice at our discretion.
- Users shall use the Service in the condition provided by us and may not reproduce, modify, alter, adapt, or transform the Service or the application. Users shall also comply with conditions separately specified by us.
- Preparation and maintenance of computers, software, communication lines, and other environments necessary to receive the Service, as well as installation and use of necessary applications, shall be conducted at the user’s own cost and responsibility.
Article 9 (Suspension, Discontinuation, or Termination of the Service)
We may suspend, discontinue, or terminate all or part of the Service in the following cases. We will notify users in advance on our website when doing so, except in emergency cases. We shall not be liable for any damages incurred by users as a result of such suspension, discontinuation, or termination.
- When performing regular or emergency maintenance or inspection of systems necessary for providing the Service.
- When operation becomes impossible due to natural disasters, fire, power outages, or other emergencies.
- When the Service cannot be provided due to unauthorized access or harmful programs by third parties.
- When unexpected failures, troubles, or service interruptions occur in the Service environment (including but not limited to the hardware on which the Service programs are recorded or operated, cloud-based storage media, and communication networks).
- When all or part of the Service becomes inoperable due to changes in Shopify specifications by Shopify Inc..
- When the Service cannot be provided due to legal or regulatory measures.
- Other cases where we reasonably determine that continuation is unavoidable for other reasons.
Article 10 (Disclaimer)
- We are not involved in and assume no responsibility for users’ PC usage environments.
- We assume no responsibility for any damages arising from changes, interruptions, or termination of the Service.
- We assume no responsibility for the legality, morality, reliability, or accuracy of websites linked from the Service.
- We shall not be liable for any damages incurred by users directly or indirectly from use of the Service, including transmission of harmful viruses.
- We shall not be liable for lost opportunities, business interruption, or any other damages (including indirect damages or lost profits), even if we were notified in advance of the possibility of such damages.
- We assume no responsibility for disputes or troubles between users and third parties. In the event of any dispute or trouble between users and third parties, users shall resolve such dispute or trouble at the user’s own responsibility and expense, and shall not make any claim against the company.
- If we are liable for damages related to use of the Service, liability shall be limited to the total amount of fees paid by the user for the Service.
- If users cause damage to another users or becomes involved in a dispute with third parties in connection with the use of the Service, users shall, at the user’s own responsibility and expense, compensate for such damage or resolve such dispute.
Users shall not cause any inconvenience, damage, or loss to the company in connection therewith. - If we are claimed damages by third parties due to user actions, the user shall resolve such matters at their own responsibility.
- If we incur costs such as damages payments, users shall reimburse us for all such costs, including settlements, attorney fees, and lost profits.
- If users cause damage to us in connection with use of the Service, users shall compensate us for all such damages, including attorney fees and lost profits.
- We do not warrant the usefulness, reliability, or accuracy of information and content posted on the Service. We shall not be liable for any disputes or troubles arising in connection with such information or content provided on the Service.
- We are not obligated to modify or correct the Service even if users’ equipment or communication environments are unsuitable.
- We shall not bear any costs for equipment or communication lines required by users to use the Service.
Article 11 (Advertising)
Users acknowledge and agree that the Service may contain advertisements and that we or our partners may place advertisements on the Service. The form and scope of advertisements may be changed by us at any time.
Article 12 (Integration with External Services)
- Depending on user settings, the Service may integrate via API with third-party marketing tools (including, without limitation, Klaviyo and Dotdigital; “External Services”) and perform actions such as unsubscribe processing, profile suppression, or data deletion on such External Services.
- Users shall be solely responsible, at the User’s own risk and expense, for the use of any External Services, as well as for obtaining, managing, and configuring API keys and any other authentication credentials required for such External Services.
- We shall not be liable for any failure to complete data deletion or synchronization on External Services due to specification changes, failures, defects, service suspension, API limitations of External Services, deficiencies in user-configured API keys, or other causes beyond our reasonable control.
Article 13 (Prohibition of Assignment)
- Users may not assign or transfer their contractual position under these Terms, or any rights or obligations hereunder, in whole or in part, to any third party without our prior written consent.
- We may assign or transfer all or part of the Service to a third party at our discretion, and in such case, users’ rights related to the Service, including accounts, shall be transferred to the assignee within the scope of such assignment.
Article 14 (Severability)
If any provision or part thereof of these Terms is held invalid or unenforceable under applicable laws or regulations, the remaining provisions and the remaining parts of such provision shall remain in full force and effect.
Article 15 (Changes to These Terms)
- We may modify these Terms as necessary. Modified Terms shall become effective upon posting on our website or notification by other methods we deem appropriate.
- Shopify Inc. may revise its terms and conditions from time to time. Users shall comply with Shopify Inc.’s terms, and we assume no responsibility in relation thereto.
Article 16 (Discontinuation of the Service)
We may discontinue provision of the Service. In such case, we will notify users in advance unless there are unavoidable circumstances.
We may also add, change, or discontinue contents of the Service at our discretion for improvement purposes.
Article 17 (Governing Law and Jurisdiction)
- These Terms shall be governed by the laws of Japan.
- The Tokyo District Court or Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance over any disputes arising between users and us in connection with the Service.
Article 18 (Survival)
Provisions of these Terms that by their nature should survive shall remain effective after user withdrawal or loss of eligibility.
